Good Things Australia Terms and Conditions

These Terms & Conditions apply to all quotes, orders, invoices, artwork approvals, products and services supplied by Good Things Australia Pty Ltd (“Good Things”, “we”, “us”, “our”).

By paying for an order or deposit, accepting a quote or invoice by email, approving artwork, a proof or a quote, signing an artwork approval or order sign-off, or otherwise confirming an order, you (“the client”, “you”) agree to these Terms & Conditions.

Your Legal Rights

These Terms & Conditions are intended to operate alongside your rights under the Australian Consumer Law and any other applicable laws.

Nothing in these terms excludes, restricts or modifies any rights, guarantees or remedies that cannot be excluded, restricted or modified by law. Where we are entitled to limit our liability under the Australian Consumer Law, our liability is limited as set out in the “Limitation of Liability” section below.

How These Terms Apply

These Terms & Conditions govern all orders. Where an artwork approval or order sign-off document is provided for a specific order, that document forms part of these terms for that order. If there is any inconsistency between that document and these Terms & Conditions, these Terms & Conditions prevail, except where the sign-off document states a more specific requirement for that particular order.

Quotes, Prices and GST

All prices are quoted in Australian dollars unless otherwise stated. GST will be charged on goods and services supplied in Australia where applicable.

Prices are subject to change due to supplier pricing, currency fluctuations, material costs, freight costs, stock availability or other changes outside our control.

If a quote or website price contains an error, or if supplier pricing changes before an order is confirmed, we may update the quote, cancel the order and refund any payment made, or offer you the option to proceed at the corrected price. We are not obligated to supply based on a quote generated from incorrect pricing.

Stock Availability

Stock is available on a first come, first served basis. Stock cannot be held without a confirmed written order and, where required, payment.

If stock becomes unavailable after quoting or ordering, we will advise you and, where possible, offer suitable alternatives.

Intellectual Property and Concepts

All artwork, designs, layouts, mock-ups, proposals and sourcing materials we present remain the intellectual property of Good Things Australia Pty Ltd until the project is awarded to us and paid for in full.

They are provided solely for your consideration of our quote or proposal and must not be copied, reproduced, or shared with any third party without our written permission. Where we present product ideas or recommendations, we ask that they not be used to obtain or brief a competing quote.

This clause does not apply to logos, brand assets or materials you supply to us.

Artwork and Client-Supplied Materials

All logos and artwork should be supplied in vector format, such as EPS, AI or PDF with outlines, unless otherwise agreed.

Where artwork, logos, brand assets or other materials are supplied by you, you confirm that you have permission to use them and authorise Good Things to use them for the purpose of producing your order.

We may offer artwork support or redraw services where required. Additional artwork charges may apply where artwork needs to be created, corrected, redrawn or reformatted.

Artwork Approval

You are responsible for checking all artwork, spelling, colours, product details, quantities, sizing, placement, delivery details and other order information before approval.

Good Things is not responsible for errors approved by the client, including spelling errors, incorrect logos, incorrect layout, incorrect quantities, incorrect delivery details, incorrect dates or incorrect product details.

Once artwork or an order has been approved, we will produce your order as closely as reasonably possible to the approved proof and agreed specifications.

Colour, Mock-Ups and Tolerances

Digital mock-ups and proofs are a visual guide only. Colours viewed on screen may not accurately represent final printed, embroidered, dyed, woven, moulded or manufactured colours, and may vary between products, materials, decoration methods and production batches.

Where PMS, Pantone or brand colours are supplied, Good Things and its decorators will make reasonable efforts to match those colours as closely as possible. Exact colour matches cannot be guaranteed, and a tolerance of up to 2 shades is to be considered acceptable. For stock products, the closest available stock colour may be used where an exact colour match is not available.

Production Quantity Tolerance

Custom and decorated production processes may result in minor variations in quantity. An over-run or under-run of up to 10% of the ordered quantity may occur and is considered acceptable delivery and fulfilment of the order. Where an under-run occurs, you will be charged only for the quantity actually delivered.

Samples

Good Things may approve samples internally and is not required to provide physical samples, sample photos or pre-production samples unless this has been requested and agreed in writing before production.

Where sample photos are provided, approval or comments must be received within 24 hours unless otherwise agreed. Delays in sample approval may delay production or delivery. Physical samples, pre-production samples or additional sample rounds may incur extra costs and may not be available for all locally sourced, express or supplier-stocked products.

Changes and Revisions After Approval

Once a proof or order has been approved, changes may not be possible. Where changes are possible, they may incur additional costs and may delay dispatch or delivery. We will advise whether the change can be made and whether additional costs or revised timelines apply.

Payment

Payment must be made in full before production begins unless other payment terms are agreed in writing and stated on the invoice.

Good Things is not responsible for production or delivery delays caused by late payment, delayed deposit payment or unpaid invoices.

Delivery Dates

Estimated dispatch and delivery dates are provided in good faith and are based on information available at the time of quoting, approval and production.

Delivery dates may be affected by decorator and supplier availability, stock availability, production capacity, freight networks, customs, payment timing, artwork or sample approval timing, client-requested changes or other factors outside our control.

We will make reasonable efforts to meet agreed timelines and keep you updated of any material changes.

Refunds, credits or discounts are not provided for changes to estimated or confirmed delivery or dispatch dates, except where required by law. Clients ordering for events should allow reasonable time for production and freight delays.

Shipping

You are responsible for all shipping charges related to your order unless otherwise agreed in writing. Freight is charged at cost unless otherwise stated.

Shipping instructions, delivery address, delivery contact and required delivery date must be provided before production or dispatch.

All orders are sent by courier unless otherwise agreed. Deliveries must be signed for unless authority to leave is provided.

Changes to shipping instructions must be submitted in writing and approved by Good Things. As goods may be shipped early, change requests must be submitted at least 72 hours prior to the scheduled dispatch date. Late changes may not be possible and may incur additional costs.

All orders become your property upon our delivery to the carrier. Good Things is not responsible for delays or additional charges caused by incorrect delivery details, late delivery changes, courier delays, failed delivery attempts, authority-to-leave instructions or other carrier issues. We will assist where possible with carrier claims, but claims must be initiated within 14 days of shipment.

Order Cancellations

Because our products are often custom-made, branded, decorated, ordered specifically for the client, or produced to approved specifications, orders cannot usually be cancelled once they have been approved, paid for in part or full, ordered from suppliers, or placed into production.

Where cancellation is possible, you will be responsible for all costs already incurred, including artwork, administration, product sourcing, supplier costs, product costs, production costs, freight and any other non-recoverable costs.

Nothing in this section limits any rights you may have under the Australian Consumer Law or any other applicable law.

Limitation of Liability

Nothing in this section excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot be lawfully excluded.

To the extent permitted by law, and subject to the paragraph above, our liability for a failure to comply with a consumer guarantee in respect of goods or services that are not of a kind ordinarily acquired for personal, domestic or household use is limited, at our option, to: the replacement or re-supply of the goods or services; the repair of the goods; the payment of the cost of replacing, re-supplying or repairing the goods or services; or a refund of the price paid for the relevant goods or services.

To the extent permitted by law, Good Things is not liable for any indirect, consequential, special or incidental loss, including loss of profit, loss of opportunity or loss arising from delay, and our total aggregate liability in connection with an order will not exceed the total amount paid by you for that order.

Force Majeure

Good Things is not liable for any failure or delay in performing its obligations where that failure or delay is caused by events outside our reasonable control, including but not limited to natural disasters, fire, flood, extreme weather, pandemic or epidemic, government action or restrictions, strikes or labour disputes, supplier or decorator failure, material or stock shortages, freight or customs delays, utility or telecommunications failures, or unusually high demand for particular products.

Where such an event occurs, we will make reasonable efforts to advise you and to minimise the impact on your order. Affected timelines will be extended for the duration of the event.

Marketing Use

Unless you request otherwise in writing before production or delivery, Good Things may photograph and use completed products for portfolio, website, social media, sales, case study, internal training and other marketing purposes.

Good Things will not knowingly publish confidential, embargoed, unreleased or sensitive client products before public release where you have notified us of that confidentiality in writing.

General

We may update these Terms & Conditions from time to time. The terms that apply to an order are the terms available at the time the order is confirmed, unless otherwise agreed in writing.

If any part of these Terms & Conditions is found to be invalid or unenforceable, the remaining terms will continue to apply.
